How do I Form an LLC in Nebraska?

    • 1). Select a name for your LLC. Under Nebraska law, the name must reflect some indication of its status as a limited liability business entity, such as the inclusion of "limited liability" or the abbreviation LLC in the name.

    • 2). Check to see if the name is available for use. Under the law, the name must be original and unique. Check your proposed name against the business name database maintained by the Nebraska Secretary of State. If your search results in an exact match or a name with enough similarity that it might lead to confusion, you will need to choose a different name and start your search again. Name search requests can only be done in writing by letter fax or e-mail.

    • 3). Reserve your proposed name. If your proposed name is available, complete the name reservation form and file it with the $15 reservation fee with the Secretary of State. Once reserved the name is held for you for 120 days. If you don't complete your LLC formation in that time the name will become available to the general public again.

    • 4). Recruit a registered agent. A registered agent is the individual(s) who agreed to accept legal service and receive official government mailings on behalf of the company. In Nebraska, the representative can be any resident of the state that is over 18 years of age.

    • 5). Draft the company's articles of organization. The articles of organization is the company's founding document and includes such vital information as the name and address of the company, the name and address of the company's registered agent and the founding owners of the company. The Secretary of State offers blank articles of organization for use from its website.
