Steps to Incorporate in Texas

    • 1). Gather the information you need to complete the Certificate of Formation for a For-Profit Corporation: business name, business type, list of directors, share information, business purpose, effective date and duration of registration.

    • 2). Search name availability using the database on the Secretary of State website. Corporation names must be different and distinguishable from existing corporation registrations.

    • 3). File for incorporation online using SOSDirect on the Secretary of State website. Payment is made electronically before your application is submitted. Credit cards are charged a 2.7 percent convenience fee. Create an account with SOSDirect and you can also order copies, request documents and submit inquiries. There is no monthly subscription fee. As of June 2010, there is a per request fee of $1.

    • 4). Fax your application in duplicate to 512-463-5709. Submit Form 807 Payment form with your application for payment by credit card.

    • 5). Mail your application in duplicate to:

      Corporations Section
      P.O. Box 13697
      Austin, TX 78711-3697

      Include the fee with your application. Make your check or money order payable to the Secretary of State. You can also pay by credit card using Form 807 Payment form.

    • 6). Drop your application off in person:

      Submit duplicate copies of your application.

    • 7). Wait to receive your file stamped copy by mail. Processing times depend on the method of submission.
